Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your access to and use of the Signal DMD dental revenue-management software, dashboard, and related services (the "Service"), provided by Signal DMD ("we", "us"). By accessing or using the Service you agree to these Terms. If you do not agree, do not use the Service.

2. Limited license

We grant you a personal, limited, non-exclusive, non-transferable, revocable license to use the Service solely for your dental practice's internal business purposes, in accordance with these Terms. No other rights are granted.

3. Ownership of the Service and ideas

The Service - including its software, source code, design, user interface, workflows, methods, algorithms, the concepts and ideas embodied in it, and all related intellectual property - is and remains the exclusive property of Signal DMD and is protected by copyright and other laws. Nothing in these Terms transfers any ownership to you. You acquire no rights in the Service except the limited license above.

4. Restrictions

You may not copy, modify, distribute, sell, sublicense, lease, or create derivative works from the Service; reverse engineer, decompile, or disassemble it, or attempt to derive its source code or underlying ideas, except to the extent this restriction is prohibited by law; remove or obscure any proprietary or copyright notice; or use the Service to build or assist in building a competing product.

5. Read-only and your data

The Service reads from your practice management system to surface revenue signals; it is designed not to write back to your practice database except through narrowly-scoped, opt-in features you explicitly enable. You are responsible for the accuracy of the data in your systems and for decisions you make using the Service. Figures the Service labels as "billed" or similar are signals to review, not confirmed amounts owed or lost.

6. Confidentiality (early access)

During any early-access, beta, or testing period, the Service and all related information are confidential. You agree to keep them secret and to use them only to evaluate the Service, as further described in the testing Non-Disclosure Agreement you accept at sign-in.

7. No warranty

The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any signal it surfaces is complete or accurate.

8. Limitation of liability

To the maximum extent permitted by law, Signal DMD will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost revenue, profits, or data, arising from or related to your use of the Service.

9. Changes and termination

We may update the Service and these Terms from time to time. We may suspend or terminate your access at any time, including for breach of these Terms or the testing NDA. The ownership, confidentiality, and restriction provisions survive termination.

End-User License Agreement

1. License grant

Subject to this End-User License Agreement ("EULA") and the Terms of Service, Signal DMD grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Signal DMD software (the "Software") for your practice's internal use only, for as long as your access is authorized.

2. Reservation of rights

The Software is licensed, not sold. Signal DMD retains all right, title, and interest in and to the Software, including all copies, modifications, and derivative works, and all copyright, trade secret, and other intellectual-property rights. All rights not expressly granted are reserved.

3. Prohibited uses

You may not: (a) copy, distribute, rent, lease, sublicense, or transfer the Software; (b) reverse engineer, decompile, or disassemble the Software, or attempt to discover its source code, underlying ideas, or algorithms, except where applicable law expressly permits despite this limitation; (c) modify or create derivative works of the Software; (d) remove, alter, or obscure any copyright or proprietary notices; or (e) use the Software to develop a competing product or service.

4. Confidentiality

The Software and its design, structure, and ideas are the confidential and proprietary information and trade secrets of Signal DMD. You agree to protect them with at least the same care you use for your own confidential information, and not to disclose them to any third party without our prior written consent. During early access, the testing NDA you accept at sign-in also applies.

5. Feedback

If you give us suggestions, ideas, or feedback about the Software, you grant Signal DMD a perpetual, worldwide, royalty-free license to use them without restriction or obligation to you.

6. Term and termination

This EULA is effective until terminated. It terminates automatically if you breach it. On termination you must stop using the Software. Sections covering ownership, confidentiality, restrictions, and feedback survive termination.

7. Disclaimer and liability

The Software is provided "as is" without warranty of any kind, and Signal DMD's liability is limited as described in the Terms of Service. This EULA is governed by the laws of the jurisdiction in which Signal DMD is established, without regard to conflict-of-laws rules.
